Terms and conditions

This is a courtesy translation. In case of any discrepancy, the French version prevails.

These terms govern, on the one hand, the use of the suricate-agency.fr website and, on the other, the sale of services by Suricate Agency, a collective bringing together Piment Rouge, Air Capture, AYR and Alp’Secrétariat.Net, registered at Quartier Belle Aureille, Micropolis, bâtiment Aurora, 05000 Gap, France (hereafter “the Agency”). They comprise four parts: terms of use of the website, terms of sale, provisions specific to training, and final provisions.

Placing an order implies unreserved acceptance of these terms, which prevail over any purchase terms of the client, unless otherwise agreed in writing beforehand.

Part 1. Terms of use of the website

1.1. Purpose and acceptance

This part sets out the conditions for accessing and using suricate-agency.fr. Browsing the site implies acceptance of these terms. Anyone who does not accept them should refrain from using the site.

1.2. Access

The site is freely accessible to any user with an internet connection. Connection and equipment costs remain payable by the user. The Agency endeavours to keep the site available at all times without being bound to do so: access may be suspended for maintenance, updates or any technical reason, without notice or compensation.

1.3. Intellectual property of the site

All elements of the site, including text, images, video, sound, illustrations, mascots, trade marks, logos and structure, are protected by intellectual property law. Any reproduction, representation, adaptation or exploitation, in whole or in part, is prohibited without the Agency’s prior written consent.

1.4. Personal data and cookies

Processing of personal data carried out through the site, in particular via the contact form, is described in the legal notice. The use of cookies is set out in the cookie policy. Users have rights of access, rectification, erasure, objection and restriction, exercised at info@suricate-agency.fr.

1.5. Third-party links and content

The site may link to third-party websites. The Agency exercises no control over their content and accepts no liability for them. A link implies neither endorsement nor warranty.

1.6. Liability relating to the site

Information published on the site is provided for guidance and may be changed at any time. The Agency cannot be held liable for damage arising from use of the site, service interruption, the presence of a virus, or inaccurate information, save where fault on its part is established.

Part 2. Terms of sale

2.1. Scope

This part applies to all services sold by the Agency: design and development of websites and applications, search visibility, audiovisual production, 3D creation, virtual and augmented reality, artificial intelligence and automation, communication consultancy, and training.

2.2. Quotation, order and deposit

Every service is the subject of a written quotation, valid for thirty days from issue. The order becomes firm upon receipt of the quotation dated, signed and marked “bon pour accord”, together with any deposit provided for.

Unless otherwise stated, a deposit of 40% of the total amount is payable on ordering. Work begins only once that deposit and the materials referred to in article 2.5 have been received.

2.3. Prices

Prices are expressed in euros, excluding tax, and are firm for the validity period of the quotation. Incidental costs incurred on the client’s behalf, such as travel, rights purchases, licences, hosting, domain names and third-party services, are re-invoiced at cost and are subject to prior agreement where not included in the quotation.

2.4. Payment and late payment

Unless otherwise agreed in writing, invoices are payable within thirty days of the invoice date, by bank transfer. No discount is granted for early payment.

In accordance with articles L.441-10 and D.441-5 of the French Commercial Code, late payment automatically gives rise, without prior notice, to:

• late payment interest at the rate applied by the European Central Bank to its most recent refinancing operation, increased by ten percentage points;
• a fixed recovery indemnity of 40 euros, without prejudice to further compensation on production of evidence where actual costs are higher.

In the event of late payment, the Agency may suspend ongoing work and the delivery of deliverables, after informing the client, until payment is made in full.

2.5. Client obligations and cooperation

Proper performance requires the client’s active cooperation. The client undertakes to appoint a single point of contact, to supply all necessary materials within the agreed timescales, including text, images, brand assets and technical access, and to respond to approval requests within a reasonable time.

The client warrants that it holds the rights to the materials it supplies and indemnifies the Agency against any third-party claim in that respect. Any delay attributable to the client extends the performance timescales accordingly, without compensation.

2.6. Timescales

Stated timescales are indicative and run from receipt of the deposit and of all necessary materials. A reasonable overrun gives rise to neither cancellation of the order nor compensation, save where a firm date has been expressly agreed.

2.7. Approval and delivery

Deliverables are submitted for the client’s approval. Failing written and reasoned observations within fifteen days of their being made available, they are deemed accepted. Putting a deliverable online, distributing or exploiting it constitutes unreserved acceptance.

2.8. Changes and additional work

The quotation sets the agreed scope and, where applicable, the number of rounds of amendments included. Any request outside that scope, such as an added feature, a change of direction after approval, or amendments beyond the number provided for, is the subject of an additional quotation accepted before work proceeds.

2.9. Intellectual property and assignment of rights

The Agency retains full ownership of the works created until payment has been received in full. Assignment of economic rights to the client takes effect only on that date.

Unless otherwise stated in the quotation, the assignment covers the rights of reproduction and representation of the deliverables, for the use, duration, territory and media defined in the quotation. Any exploitation not provided for, in particular assignment to a third party, adaptation to other media or geographic extension, is the subject of a separate agreement.

The Agency’s pre-existing assets, including methods, tools, libraries and software components, remain its property and are, where required, licensed on a non-exclusive, non-transferable basis. Third-party software, fonts, photographs and music remain governed by their own licences, the cost of which is borne by the client.

2.10. Hosting, maintenance and managed services

Hosting, maintenance and managed services are separate services, described in the quotation or in a separate contract, generally taken out for one year renewable by tacit agreement, terminable by either party on two months’ notice before the anniversary date.

In the absence of a maintenance contract, the Agency has no obligation to monitor, update or back up after delivery.

2.11. Confidentiality

Each party undertakes to keep confidential the other party’s information and documents, in whatever form, of which it becomes aware in connection with the service, for the duration of the service and for three years thereafter.

2.12. Commercial references

Unless the client objects in writing, the Agency may cite its name and logo, and present the delivered work as a reference in its own communications, portfolio and tender responses.

2.13. Liability

The Agency is bound by an obligation of means. Its liability is limited to direct and proven damage and may not exceed, for all causes combined, the amount excluding tax actually paid for the service concerned.

Indirect damage is excluded, in particular loss of turnover, customers, data, reputation or expected profit. The Agency cannot be held liable for the consequences of a third-party failure, whether a host, operator or platform, nor for changes to the rules of those platforms.

2.14. Termination and cancellation

In the event of serious breach by either party, the other may terminate automatically after formal notice has remained without effect for fifteen days.

If the client cancels after accepting the quotation, the deposit remains acquired by the Agency and work already carried out is invoiced in proportion to its progress.

2.15. Force majeure

Neither party is liable for a failure caused by force majeure within the meaning of article 1218 of the French Civil Code. Obligations are suspended for the duration of the event; if it lasts more than two months, either party may terminate without compensation.

2.16. Personal data and processing on the client’s behalf

Where performing a service leads the Agency to process personal data on the client’s behalf, the client acts as controller and the Agency as processor within the meaning of article 28 of Regulation (EU) 2016/679. The arrangements, purposes, retention periods and security measures are then set out in a separate agreement.

Part 3. Provisions specific to training

3.1. Scope and certification

The Agency is a training organisation certified Qualiopi for the category “training actions”. This certification attests to the quality of the process implemented and makes the training eligible for French vocational training funding.

3.2. Enrolment, agreement and funding

Each training action is covered by a training agreement or, for an individual, a vocational training contract. A detailed programme setting out objectives, content, duration, teaching methods and assessment is provided before enrolment.

Where funding is provided by a skills operator or a training fund, it is for the client to complete the formalities and obtain approval before the action begins. Failing approval, the cost remains payable by the client.

3.3. Cancellation, postponement and withdrawal

Any cancellation or postponement by the client must be notified in writing. Where cancellation occurs less than fifteen days before the action begins, the Agency invoices an indemnity of 30% of the total cost, which cannot be charged to vocational training funds.

Where a trainee withdraws during the course, the services actually delivered remain payable. The Agency may cancel or postpone a session, in particular for want of sufficient participants; it informs the client no later than seven days beforehand, and sums paid are then refunded in full or carried over.

3.4. Accessibility and disability

The Agency examines with each trainee concerned the adjustments needed for their participation. Requests may be sent in advance to info@suricate-agency.fr so that possible adjustments, or referral to a suitable organisation, can be agreed together.

Part 4. Final provisions

4.1. Complaints and mediation

Complaints are to be sent in writing to info@suricate-agency.fr. The Agency undertakes to reply within fifteen days.

In accordance with article L.612-1 of the French Consumer Code, a consumer client may refer the matter free of charge to a consumer mediator with a view to amicable resolution, after first attempting to resolve it directly with the Agency. The details of the appointed mediator are available on request.

4.2. Right of withdrawal

A consumer client contracting at a distance or away from business premises has fourteen days to exercise the right of withdrawal, without reason or penalty. Where performance begins, at the consumer’s express request, before the end of that period, the consumer remains liable for the amount corresponding to the service already provided. This right does not apply to contracts between businesses.

4.3. Severability and forbearance

If any clause is held to be void, the remaining clauses retain full effect. The Agency’s failure to rely on a breach does not amount to a waiver of its right to do so later.

4.4. Amendment of these terms

The Agency may amend these terms at any time. The terms applicable are those in force on the date the quotation is accepted.

4.5. Governing law and jurisdiction

These terms are governed by French law. Failing amicable resolution, any dispute falls within the exclusive jurisdiction of the courts of Gap, France, including where there are several defendants or third-party proceedings. For consumer clients, the jurisdiction rules of the French Code of Civil Procedure apply.
